(NASDAQ:CBLI), today announced the closing of its previously announced registered direct offering to several institutional and accredited investors of an aggregate of 1,515,878 shares of its common stock, at a purchase price of $2.0945 per share. The offering was priced at-the-market under Nasdaq rules. Cleveland BioLabs also issued to the investors unregistered warrants to purchase up to an aggregate of 757,939 shares of common stock. The warrants have an exercise price equal to $2.033 per share, are exercisable immediately upon issuance and will expire five years from the issuance date.
The gross proceeds from the offering were approximately $3.175 million. The Company currently intends to use the net proceeds from the offering for general corporate purposes.
H.C. Wainwright & Co. acted as the exclusive placement agent for the offering. McGuireWoods LLP acted as legal counsel to the issuer.
